PARKSIDE PTA 9.5.130 2005-2006

ARTICLE 1 - NAME
Section 1- The name of this PTA shall be Parkside Parent Teacher Association, local unit number 9.5.130.
Section 2 - Parkside PTA is a non-profit corporation, recognized by the state of Washington. It shall be the duty of the Treasurer to file Annual Corporation Renewal Forms and remit the renewal fee to the Secretary of State prior to due date as stated on the form, (November 15).
Section 3- The unit's Employer Identification Number is available upon request and at the discretion of the board.
Section 4 Parkside PTA is organized exclusively for charitable and educational purposes and is recognized by the IRS as a non-profit, tax-exempt organization, under Section 501(C)(3). In compliance with the Internal Revenue Code of 1986 the organization or members in their official capacities shall not (directly or indirectly- participate or intervene in any way, including the publishing or distributing of statements) in any political campaign on behalf of, or in opposition to, any candidate for public office; or to influence legislation. The Executive Committee will ensure that the appropriate annual tax documents 990 or 990EZ with required schedules are filed by November 15, to avoid penalties.
Section 5 - This PTA is registered with the Secretary of State under the Charitable Solicitations Act. The Charity ID number is 3613. The treasurer is responsible for filing the annual registration and remitting the renewal fee prior to November 15th to avoid penalties.
Section 6 - The unit shall keep at least two copies of its legal documents. One copy is to be kept with the Treasure's books and the other with the President's books.
ARTICLE 2 – OFFICERS
Section 1 – Election of Officers
a) The Nominating Committee shall be elected by the membership no later than Jan 31.
b) The Nominating Committee shall report to the Executive Committee no later than Feb 28.
c) Elections for the next year’s officers shall occur no later than March 31.
d) An Audit Committee shall be elected by the membership no later than May 31.
Section 2 - The elected officers of this unit shall be one President or two Co-Presidents, one Vice-President or two Co-Vice Presidents, one Secretary or two Co-Secretaries, one Treasurer and an Assistant Treasurer/Financial Secretary. These elected officers shall constitute the Executive Committee. Each elected officer shall be entitled to a voice and vote at a Board of Directors meeting.
Section 3– The signatures of all elected officers shall be on the signature card for this PTA’s authorized bank account(s).
a) All PTA checks require two signature of authorized signers from different households
b) A PTA officer shall not sign a check to himself or herself, or a member of their household.
Section 4 – All elected officers shall be current on their membership dues no later than October 24 of the current fiscal year.
Section 5 Standing Committees are committees that are ongoing from one year to the next. The Board of Directors can add or delete standing committees by majority vote.

Section 6 - The Board of Directors shall consist of the officers, standing committee chairpersons, incoming elected officers, and the Principal shall be ex-officio Board of Directors member. All members of the Board of Directors must be members of the PTA. PTA members serving in more than one position have only one vote. A quorum for the Board of Directors shall be a majority (>50%) of Board of Directors, with a simple majority voting in approval of decisions.
Section 7– Appointments to Committee Chair positions are done by the President/Co-President with approval of the Executive Committee.
Section 8 An office or standing committee chairmanship shall be declared vacant if that person misses three consecutive Board of Directors and Membership meetings unless excused by the President/Co-Presidents. Board members shall notify the President/Co-Presidents if they are unable to attend a meeting.
ARTICLE 3 - MEETINGS
Section 1 - At least four general membership meetings shall be held during the school year beginning in September and ending in June. Notification of the location and time of the meeting shall be published at least 10 days before the meeting.
Section 2 - Board of Director meetings shall be held prior to the General Membership Meetings. Notification of the location and time shall be published at least 10 days before the meeting.
Section 3 - The Executive Committee shall meet quarterly for the purpose of confirming all legal, financial and contractual obligations of the PTA have been and are being met. The Executive Committee shall also review and ensure the PTA is operating within the guidelines of these standing rules. Notification of the location and time of the meeting shall be published at least 10 days before the meeting.
Section 4-
All PTA meetings are open to the general membership and they are encouraged to
attend.
Non-members may attend also, but are unable to vote or participate in any
discussion.
Section 5
- Each officer and chairperson should be present at each General Membership
Meeting.
Each individual officer and chairperson should inform the
President/Co-Presidents in the event that he/she will be absent from a scheduled
or called meeting. All officers and chairpersons shall be current Parkside PTA
members.
ARTICLE 4 - MEMBERSHIP
Section 1 - Membership Fees for Parkside PTA shall be at the discretion of the Membership Committee.
Section 2 - The students of Parkside Primary School shall be considered honorary members of the Parkside PTA without vote, or privilege of holding office.
Section 3
- A quorum shall consist of 10% of the general membership or ten people,
whichever is the greater number. Absentee, mail-in, or proxy ballots are
prohibited.
ARTICLE 5 - POLICIES
Section 1 - The Standing Rules shall be adopted annually by a majority vote of the membership in attendance at the first General Membership Meeting of the school year.
Section 2 - A budget shall be authorized for adoption after the election of PTA Officers, but no later than the first General Membership Meeting.
Section 3 - The Executive Committee shall be authorized to approve necessary expenditures for the operation of the organization prior to the first General Membership Meeting.
Section 4- The Executive Committee shall have the authority to increase the budget without requirement of approval from the General membership in the following two ways:
1) by increasing an individual Budget Line Item by up to 40% of its original value, not to exceed $250.00;
2) by adding Budget Line Item(s) whose combined value is not greater than $250.00.
Such Budget increases will be reported to the membership at the next General Membership Meeting after their adoption.
If proposed Budget Line Item increase/addition is greater than the values stated above, an Emergency General Membership Meeting will be called for the purpose of discussing and approving or rejecting the proposed budget increase.
Section 5 - The Voting Delegates from the Parkside PTA to the Highline PTSA Council shall be the President/Co-Presidents or a delegate from the Executive Committee appointed by the President/Co-Presidents.
Section 6 - The vote for this unit for the Region Director shall be an Executive Committee action.
Section 7 - Voting delegate(s) to the annual State PTA Convention shall be in the following order: the ongoing or incoming President, ongoing Vice President. If these officers are unable to attend the voting delegate(s) shall be elected by the Board of Directors (See Article XIII, Section 2 (b) in Washington State PTA Bylaws). The Board of Directors shall determine the number of delegates funded.
Section 8 - Voting delegated to the Legislative Assembly shall be the Legislative Chairperson, unless otherwise directed by the Board of Directors.
Section 9 - The Treasurer's book shall be closed no later than the last day of school, and audited before July 1st. The incoming Treasurer shall be part of a committee of at least three to audit the outgoing Treasurer's books.
Section 10 - Parkside PTA shall maintain a minimum general fund balance of $3,500 for carry forward to the next fiscal year.
Section 11 - Parkside PTA will be governed by the Bylaws for a local PTA unit as approved by the Washington Congress of Parents and Teachers.
Section 12 - All reimbursement requests shall include a receipt and shall be submitted to the Treasurer within 60 days of purchase. All requests for reimbursement must be received by June 1st.
Section 13
- Should the PTA receive an NSF check, a $10 service fee will be charged in
addition to any bank penalties the PTA may accrue. If the NSF checks are not
paid for by June 1st, then the PTA will not accept checks from this individual
in the future.
ARTICLE 6 - AMENDMENTS
Section 1 - These Standing Rules may be read by request at any meeting and may be amended at any regular membership meeting by a 2/3 quorum vote, or, if previous notice has been given, by a majority vote.
